App Developer Account Access Requirements

- Definitions
Terms used in this document but not defined below have the meaning set out in Customer's Blink T&Cs. For the purposes of this document, the following terms apply:
1.1. "App Developer Account" means Customer's registered Apple App Store or Google Play developer account, including all associated tools, certificates, profiles and resources.
1.2. "App Policies" means the relevant App Developer Account licence agreement, review guidelines and any other rules governing app submissions and account usage.
- Access and Permitted Use of the App Developer Account
2.1. Customer grants Blink limited access to Customer's App Developer Account solely for the purpose of submitting, managing and maintaining Blink's white-labelled app (“App”).
2.2. For the avoidance of doubt, Blink must not:
(a) use the App Developer Account for any purpose unrelated to the App;
(b) modify or attempt to modify any account settings, billing information, or developer agreements;
(c) access or distribute any other applications under Customer's account; or
(d) transfer, sublicence, or share access credentials with any third party.
- Compliance with App Policies
3.1. Blink will comply with all App Policies when accessing or using the App Developer Account.
3.2.Blink will ensure that all applications submitted comply with the App Policies.
- Security and Access Controls
4.1. Customer may assign the minimum required permissions within the App Developer Console (e.g. “App Manager” role) and may revoke access at any time acting reasonably.
4.2. Blink will implement and maintain appropriate security measures to prevent unauthorised access, disclosure or misuse of the App Developer Account.
4.3. Blink will not share, sublicense or transfer account access to any third party without Customer's prior written consent.
4.4. Customer may audit Blink's activity logs in the relevant app developer console and revoke access if unauthorised access is detected.
- Liability and Indemnification
5.1. Blink will be fully liable for:
(a) any unauthorised use, non-compliance or breach of App Policies resulting from its access to the App Developer Account; and
(b) any account suspensions, terminations, or penalties imposed by App due to its actions or omissions in its role of submitting, managing and maintaining Blink's App for the Customer.
5.2. Subject to the limits on liability in the Agreement, Blink will indemnify, defend, and hold harmless Customer from and against any claims, losses, liabilities, fines, penalties, damages, legal fees or regulatory actions resulting from Blink's:
(a) misuse of the App Developer Account; and
(b) non-compliance with App Policies.
- Termination of Access
6.1. Customer may immediately revoke Blink's access to the App Developer Account at any time, with or without notice, if Blink:
(a) breaches any term of this document or the App Policies;
(b) engages in any conduct that risks developer account suspension or termination; or
(c) no longer requires access to fulfil its obligations under the Agreement.
6.2. On termination of the Agreement, Blink will work with Customer to close down its App Developer Account access in accordance with the post-termination requirements set out in Blink T&Cs.
